01Acceptance
By using the website or the Services you agree to these terms. If you use the Services on behalf of an organisation, you confirm that you are authorised to accept these terms for it, and “you” refers to that organisation.
02Accounts
- The Services are for business use. Accounts must be registered with a work email address.
- You are responsible for keeping credentials confidential and for activity under your accounts.
- Tell us promptly at security@opsmeld.com if you suspect unauthorised access.
- Workspace administrators control which users have access and what they can do.
03Trials
We may offer a free trial, such as the 90-day Vantage ITSM trial. Trials are provided as they are, without any service commitment, and may be limited in users or features. At the end of a trial you can move to a paid plan; otherwise we may delete trial data after giving notice.
04Acceptable use
You must not, and must not allow others to:
- break the law, infringe others’ rights, or upload content you have no right to use;
- attempt to access another customer’s workspace or data, or bypass access controls;
- probe, scan, or test the Services’ security except under our responsible disclosure policy;
- upload malware or send spam through the Services;
- overload or disrupt the Services, or use automated means to extract data beyond normal API use;
- reverse engineer the Services except where the law allows it despite this restriction;
- resell or provide the Services to third parties without our written agreement.
We may suspend access that breaches this section, and will tell you why unless the law prevents it.
05Your data
You own the data you put into the Services (“Customer Data”). You give us permission to host, process, and transmit Customer Data only as needed to provide, secure, and support the Services, and as described in our privacy policy.
You are responsible for the accuracy of Customer Data and for having the rights and notices needed to share it with us. You can export your data while your subscription is active.
06AI-assisted features
Some features use AI to suggest classifications or extract information. Suggestions may be inaccurate. They are presented for a person to review, and you remain responsible for decisions made and entries posted using them, including entries posted to your ERP system.
07Third-party services
The Services can connect to products we do not control, such as Microsoft Dynamics 365 Business Central and Microsoft Teams. Your use of those products is governed by your agreements with their providers. OpsMeld is not affiliated with or endorsed by Microsoft. Microsoft, Dynamics 365, and Microsoft Teams are trademarks of the Microsoft group of companies.
08Our intellectual property
The Services, website, and all related software, designs, and documentation belong to OpsMeld or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription or trial. If you send us suggestions, we may use them without obligation to you.
09Fees
Paid plans are billed as set out in your order or on our pricing page. Prices exclude applicable taxes, including GST, which are charged in addition. Unpaid amounts may lead to suspension after notice.
10Consulting services
Consulting engagements are governed by the statement of work agreed for each project. Information on this website about our consulting services is a general description and not an offer.
11Confidentiality
Each party will protect the other’s confidential information with at least reasonable care and use it only for the purpose of the relationship, except where disclosure is required by law.
12Disclaimer
Except as expressly stated in a signed agreement, the website and Services are provided “as is” and “as available”. To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
13Limitation of liability
To the extent the law allows:
- neither party is liable for indirect, incidental, special, or consequential loss, or for loss of profits, revenue, or goodwill;
- each party’s total liability arising from these terms is limited to the fees paid or payable by you for the Services in the 12 months before the claim, or INR 10,000 if no fees were payable.
These limits do not apply to liability that cannot be limited by law, or to breach of the acceptable use section.
14Indemnity
You will defend and indemnify OpsMeld against third-party claims arising from Customer Data or from your breach of the acceptable use section.
15Suspension and termination
You may stop using the Services at any time. Either party may terminate for material breach not cured within 30 days of notice. On termination, your right to use the Services ends, and we handle Customer Data as described in our privacy policy. Sections that by their nature should survive termination will survive.
16Governing law and disputes
These terms are governed by the laws of India, and disputes arising from them are subject to the jurisdiction of the competent courts in India.
17Changes to these terms
We may update these terms. We will change the effective date above and, for material changes affecting paid customers, give at least 30 days’ notice by email or in the product.
